POSITION OVERVIEW:

Navacord Inc. is seeking a Director, Legal to join our Canadian owned brokerage, which consists of several insurance broker partners spanning across Canada.

As a member of the Navacord Corporate Legal team, you will support the company on a variety of day-to-day and transactional corporate/commercial and regulatory matters (corporate HQ and local broker partner) as well as on a variety of strategic initiatives.

KEY RESPONSIBILITIES:

Insurance/Corporate/Commercial/Contracts

· Provide advice to relevant stakeholders on insurance brokerage industry-related issues and regulations across all Canadian jurisdictions and support local broker partners on licensing and related compliance matters

· Handle Navacord corporate matters leveraging a strong understanding of business law and associated statutes and support Navacord corporate secretarial function more generally, including, by providing guidance to local broker partners on local broker partner corporate entity maintenance related matters

· Draft, interpret and negotiate contracts of all varieties, including, procurement related contracts, and other legal documents

· Work with local leaders and other functional support staff (corporate and local broker partner) to solve legal issues related to operations, including, HR, privacy, IT and IP matters

· Handle matters relating to insurance marketing, privacy and other legal compliance areas, as required

· Oversee and provide guidance to outside counsel, as needed, in support of the above

M&A, Corporate Finance & Other Strategic Transactions

· Draft and negotiate transaction documents relating to, among other things, acquisitions, divestitures, financings and other strategic arrangements, including, acquisition agreements, letters of intent, NDAs, closing documents, etc.

· Conduct transaction legal due diligence, including, regulatory due diligence

· Work with local broker partner leadership and other functional support staff (corporate and local broker partner) on transactional activities

· Oversee and/or perform all other legal tasks necessary to close M&A and other strategic transactions independently and at the direction of functional leadership

· Support acquired broker partners on post-acquisition integration related matters, including, relating to licensing and corporate entity maintenance

· Oversee and provide guidance to outside counsel, as needed, in support of the above

Other

· Working with Finance and HR resources (corporate and local broker partner) and internal broker support the annual errors and omissions insurance placement process.

· Support broker partners on litigation and other dispute resolution matters (insured and uninsured) and oversee external legal resources relating to same.

REQUIREMENTS:

·7+ post-call years of experience handling a wide variety of legal matters required, with M&A and insurance industry experience, and experience working in the corporate HQ of a growth oriented entrepreneurial enterprise, preferred and beneficial.  Experience supporting clients in the United States also beneficial.

· Member in good standing of the Law Society of Ontario

· Strong interpersonal, verbal and written communication skills

· Ability to work within tight deadlines, interface effectively with a broad array of internal client groups, functional support resources (corporate and local broker partner), external counsel, regulators and suppliers

· Strong organizational, and drafting skills, including a rapid, problem-solving mindset

· Ability to work independently, as well as in team situations, while multi-tasking in diverse legal areas
